You need to be more specific about the symptoms.
Carefully read the setup.log file for the installation.

I am also having the same issue. Did anyone find a solution?

This error code usually affects BITS in services.msc
It is wierd that it is the actual wmserver.exe service that is stopped. I ran a quick fix from google but it will only fix BITS issue.
My box is a Win2K3 SP2.

WMS not starting after installation is usually because you didn't use the correct I386 files when performing the installation. It will ask you for the Service Pack 2 disk, so you need to use the Service Pack 2 I386 files. These may already exist in "C:\windows\system32\ServicePackFiles\i386". If not, you will need to download Service Pack 2 and extract the files from the installer. The WMS installation might also ask you for the original Windows CD as well. If it does, you need to use the I386 files from the CD.

Please report back about SP2 -- do you have it installed?
Make sure BITS is running. If its not and you are getting an error when trying to start it, copy/paste event log entry here. Also paste the one referenced in OP also.

WMS was working for 1.5 years before the service crash. I did a clean install with the SP2 CD as you specified and still nothing. the crash started this Sunday 8/17/09. That specific error code that comes up when I try to start the service is refferring to BITS when I checked with Technet or MSDN. They both gave me a cheesey fix, but it is for a BITS crash.(service-specific error 2147942402 (0x80070002)

tried both the BITS_fix.bat and deleting the downloader folder. Is this error a registry issue. LMK
